1970年代,資源依賴論相當受到重視,該理論視董事會為企業與環境的重要介面,董事會經由提供經營者諮詢服務,以及協助經營者發展以及規劃公司策略,所以可知,董事會在決定一家公司的策略上,扮演相當重要的角色。此外,代理理論建議以董事會作為內部監控機制,監督或限制代理人自利行為。

根據「資源依賴觀點」、「代理理論」之主張,可以看到董事會無論是在公司經營、策略制訂、或是監督代理人方面,都有相當大的功能性,進而影響公司的績效,所以本文研究要探討董事會特徵對公司績效、策略之影響,兼論策略在董事會特徵與公司績效關係之干擾角色。

本研究的樣本為2004年底已上市(櫃)之服務公司,共147家,實際用於分析樣本為144家。經研究結果顯示,董事會特徵對於公司績效具有顯著影響效果,尤以領導結構、異質性、董事會親友持股比例、董事會持股比例較為重要。

研究結果亦發現董事會的確具有策略上的功能,由於過去此功能往往被忽視,但經由本研究結果證實,董事會在策略的形成過程中的確扮演不可或缺的角色。此外根據干擾迴歸分析(MMR)顯示策略在董事會與績效之間具有干擾效果。過去分析董事會特徵與績效間之關係,似乎忽視其中之干擾變數,因此若能將經營上或環境中的因素考量進去,對於董事會特徵與績效之研究將更為清楚。
In 1970, the resource dependency perspective is rather emphasized, and it regards board of directors as an important interface between enterprise and environment. Board directors will provide managers advices, and help managers to develop and plan company policies. As a result, “board composition” plays an important role to make policies for company. The agent theory suggests owners adopt board of directors as the inner mechanism to limit or monitor the agent’s self-benefiting behaviors based on the reducing monitoring costs.

From the “resource dependency perspective” and “agency theory”, we will know that the board of director has many functions in company running, policy making, and agent monitoring, and furthermore will influence the performance of company. So this research is investigating the effect of the board characteristics on the company’s performance and corporate strategy. Moreover, this research will explore the moderate role of corporate strategy in the relationship between the board characteristics and company performance.
