合作關係中參與企業互動的本質會塑造合作的關係和氣氛,最終會決定整個合作事業的有效性,而夥伴相關準則在這方面是很關鍵的變數。本研究以互動觀點為基礎,並以整合性架構探討企業內外部權變因素:企業專屬特質、合資任務特質、企業間關係特質究竟會對夥伴相關準則權重造成什麼樣的影響,最主要目的是決定夥伴相關準則在各種不同情況下的相對權重,而不是找出特定的選擇準則有哪些。研究結果再次印證夥伴選擇是屬於動態決策。實證結果發現合資任務特質與企業間關係特質均會影響夥伴相關準則權重。在合資任務特質構面中,當國際合資涉及的技術知識愈具備潛藏模糊的特性;合資活動愈複雜需要合資雙方多方面來配合;合資任務伴隨著大量專屬性投資時,不管是有形或是無形的投資;在這些前提條件下會造成雙方未來互動需求增加,導致企業選擇外國合資夥伴變得更重視夥伴相關準則。另外在企業間關係特質方面,當合資企業間存有各種明顯差異性如策略方向、組織結構、企業文化時,為了要抵銷雙方差異性帶來的不利影響,日後雙方必須進行大量的互動調適,所以企業選擇外國合資夥伴會變得更重視夥伴相關準則中的開放性準則。但另外一方面,本研究主張企業應系統性地與合資夥伴分享珍貴的知識,以交換存在聯盟夥伴內部的知識,但相對地對方也可能學習到本身專屬的核心資產,大多數研究認為學習對方技術知識和保護自身專屬的核心資產兩項目標是互斥的,本論文認為企業可經由合作能力、互動能力或關係資本的建立,它們都是信任、互動溝通和整合之下的產物,在雙方互相信任的基礎下,進行資訊的交換和任務上的互動整合,最終同時達成上述兩項目標。
Inter-firm interaction shapes the relationship and atmosphere in international joint venture, and hence influences the effectiveness of the cooperative venture. Selecting the right partner(s) is therefore is critical for the success of joint ventures. This thesis investigates how firm-specific characteristics, task attributes, and inter-firm relationships influence the relative importance of partner-related criteria. In particular, the thesis does not attempt to find a list of universal selection criteria. Instead, it aims to explore the relative importance of partner-related criteria from a contingency approach. Our empirical results show that both task attributes and inter-firm relationships affect the relative importance of partner-related criteria. When the venture involves tacit technology or knowledge, undertakes relatively complex tasks, or commits specific (tangible or intangible) investment, the firm tends to more strongly emphasize partner-related criteria when choosing foreign partners. When it exists substantial diversities between corporative partners such as strategic orientation、organization structure, or corporate culture, participated firms have to make considerable adaptation in order to neutralize the detrimental effects of these inter-firm diversities. In this case, the firms may tend to value more on partner-related criteria when choosing foreign partners. Our results suggest that in order to exchange embedded knowledge of counterparts , firms should share their proprietary assets systematically with partners. While a number of researchers have argued that learning and protecting proprietary knowledge are conflicting goals, we suggest that firms could accomplish both goals by developing cooperation competence, interaction capability, and relational capital. They facilitate trust,communication and coordination between corporative partners, leading to superior cooperative venture performance.
