由於臺灣加入世貿組織及總額預算制度的即將實施,對醫療產業的環境造成嚴重的衝擊,醫院亦將遭遇經營上的重大困難.經營不善的醫院,有被購併的危機;醫院購併的模式有六種,在本研究中有相關文獻的探討.而購併活動中,醫院價格的評定是最重要的一個環節,其中,醫院無形資產的價值可以使用超額盈餘法來評估.
本研究是國內首篇由財務角度切入,建構醫院價格之財務評價模式.運用收益評價法中之自由現金流量折現法,利用資本資產評價模式,求得加權平均資金成本,再考慮醫院買賣的流動性不佳,給予折價後,求得折現率,利用此折現率來折現醫院未來五年預估的現金流量及永續成長下的醫院終值,得出醫院的整體價值.
根據前述之評價方法及步驟,利用個案醫院之財務報表計算該醫院之價格,並進行情境分析.發現營收成長率及醫院營運風險值兩項變數的調整,可以使醫院的價值產生很大的變化,這是運用上述方法評估醫院價值時,值得注意之處.

Due to Taiwan’s joining into the World Trade Organization in 2002 and the implementation of global budgeting, there will be severe impact to the medical industry. Hospitals will face a significant difficulty in business operation. For hospitals who fail to run profits, will encounter a risk of being merged or acquired. There are six medical practice acquisition models and related articles are reviewed in this research. Valuation of a hospital is one of the most critical factors in mergers and acquisitions. The excess earnings method can be used to value the intangible assets of a hospital.
This is the first article in Taiwan researching a build-up method of financial valuation model for hospital valuation. By applying the discounted free cash flow method of income-based valuation method, researcher uses the capital asset pricing model to get the weighted average capital cost. After taking the illiquidity discount into consideration, we work out a discount rate to discount the projected free cash flow in the five near-coming years plus the terminal value as the total value of a hospital.
According the above valuation method and steps, we exploit the financial statements of the case hospital to calculate the value of the case hospital. In the scenario analysis, the adjustment of the growth rate in the hospital revenues and the beta value of the case hospital will create a great change on the hospital value. It should be noted while using the model to value hospitals.
