購併的個案數和金額逐年攀升,顯示企業選擇外部成長的營運策略,期能藉由資源共享,或追求快速成長或追求綜效的動機未曾衰減。
但是在探討購併案失敗或成功的文獻和實例中,總是一再提及失敗的案例多過成功的案例。可見購併雖然風行,要實現預期綜效並不容易。大部分的研究中,談到購併雙方間的整合均止於公司對公司的層次,本研究試圖以特化產業購併個案整合的例子結合文獻中購併領域與研究議題的整理,將整合的層次延伸到部門對部門,並將對購併綜效實現影響最重要的兩個因素:購併後整合及組織/人力資源的規劃管理,發展出以組織調整策略、人力資源管理角色、購併效益、綜效來源與綜效抵消為主軸的四個命題。
不論購併動機與預期綜效如何,綜效實現才是購併的最終目標,阻礙綜效實現因素的探討將使企業在購併前預見綜效抵消因素,本研究並提出購併中人力資源工作外包及階梯式人力資源管理角色的觀念,另將組織策略調整依業務技術、供應鏈管理、後勤支援發展出距陣圖,期能使購併後的整合工作有更完整的模式可循。
The M&As have been popular topics for years however the most comments we heard from reports are the fail of one more M&A case.
To study on a specialty chemical case happend years ago tried to
focus on the post-merger integration from M&A research fields which include strategy, economy, finance, org. theory and HR management. The thesis touches two most critical factors that have impact on the success of the realization of synergy or the main factors that brought a M&A into a tragedy: the integration of org. and HR in post-merger phase. The deployment of this two factors create 4 propositions on organization structure change, HR''s roles, integration benefits, and synergy sources and the neutralization factors to synergy.
Barriers that prevent the synergy from realization should be paid most attentions to during the integration process. The idea of outsourcing of HR''s translation and transaction role, as well as the study on the change of organization structure based on business, supply-chain, and support functions are futher topics to be addresses.
