The purpose of this paper is to investigate the factor of e-procurement adoption, by using the resource-based view and transaction cost theory as theoretical framework to proceed the research. The content of this article could be divided into four parts. First, understanding and examining category/process of the e-procurement. Second, the real situation of procurement operating. Third, divers and barriers for e-procurement categorization. Fourth, investigating the antecedent for adoption of e-procurement. Five kinds of the information exchange were used, face to face, telephone/fax, website, ERP via ERP, form a matrix for transaction with their downstream that regard as measure extent of e-procurement adoption between firms.

Take Taiwanese manufacturers as the sample of this article. According to the results, we could conclude that the antecedent of e-procurement would affect the degree of e-procurement adoption positively, which including transactional frequency, asset specificity, demand uncertainty, customer’s pressure and customer’s IT ability.
