隨著金融業的自由化與國際化,我國近十年來陸續採行多項開放性措施,金融市場結構發生相當之變革。採行的措施包含了:開放商業銀行設立、公營金融機構民營化、放寬外商銀行設立營業據點、核准信託投資公司、中小企業銀行及信用合作社改制為商業銀行,並鼓勵金融機構良質合併等。其中於民國九十年實施的金融控股公司法更為我國金融業發展史立下新的里程碑。

本研究自國內外文獻彙整各學者的研究或理論,以及應用的狀態,具以建立初步的研究架構,針對國內知名證券商轉型為利基型金融機構之歷程進行個案研究,並分別對金融服務整合過程中所創造之組合效益以及利基型金融機構發展實體金融機構與虛擬金融機構時之策略思維進行探討。相關研究發現整理如下:

一、金融服務整合之價值來自於金融業各業務之特性。

二、資本規模較小為證券業在金融整合過程中趨於弱勢之主因。

三、面臨金控整併風潮及證券經紀利潤下滑等挑戰,中小型證券商趨向以強化差異化盈利模式做為因應之道。

四、利基型金融機構可採行策略聯盟模式成立虛擬金控與大型金控抗衡。
Taiwan adopts openness measures of a lot of items in succession for these ten years according to liberalization and the internationalization of a financial industry, and the corresponding revolution is generated in the market structure of finance. The adopted measures included: The commercial bank establish was opened, the financial institution of the public management, allowed a foreign trader bank established, permitted the trust investment company, the small-medium-sized enterprise and the credit cooperative changed to the commercial bank. And also encourages the financial institution which have good quality to combine each other etc. The year of 2001 in Taiwan was the history of development a financial industry of connects a new milestone with the executed financial holding company law.

This research collected from each scholar''s researches and theory documents from Taiwan and foreign, and the situations of application, making up the state of the application and a rudimentary research construction. We pick up one of Taiwan’s famous securities institution that changes their style to be a niche financial institution. We use the case study way to research their changed process, to research the effect or profit, which created from combination, and want to research the strategy of niche financial institution development to be a real or virtual financial holding institution. The related researches are as the follows:

1. The value of financial industry’s merged was from the characteristic of each financial business.

2. If the securities institution’s capital scale is smaller, it will be the weakness in the finance industry’s merged processes.

3.In the face of some challenges of financial holding company’s merged trend and the securities institution’s profit down, the small and medium-sized securities institutions have to change their direction to strengthen the difference profit model.
4. The niche financial institution can use the strategic alliance model to establish a virtual financial holding institution to contend with the large scale one.
