隨著全球化與日益競爭的市場,不少台商藉由國際合資事業的方式前往大陸投資,以獲取廣大市場、外在資源、分散風險與建構持續性競爭優勢。然而國際合資仍潛藏許多風險,需要藉由防弊機制的設計以促進合作。本研究以交易成本理論與網絡理論為基礎,探討台商赴中國大陸投資的國際合資事業中,影響母公司對於國際合資事業控制機制設計的因素,並且探討各項機制運作對國際合資事業滿意度之影響。
本研究以經濟部投資審議委員會歷年到2005年「上市櫃公司赴中國大陸投資名錄」之合資廠商,寄發問卷,共得有效問卷102份,應用複迴歸方式進行資料分析。結果發現:移轉資源重要性愈高時,傾向採用正式化控制機制;當合資夥伴間累積社會資本愈多,傾向降低集權化控制,增加正式化與社會化控制;國際合資夥伴之間相互依賴程度愈高時,傾向社會化控制的實施;當台商擁有國際合資股權比例愈高時,則傾向集權化控制。並且控制機制選擇應做適當的規劃,集權化控制機制的實施,可能會產生反效果;正式化控制機與合作滿意度沒有顯著關係;而社會化控制機制有助於合作滿意度的增加;從本研究結果得知,各控制機制之運用並不互斥,母公司在選擇控制機制時,可以運用多元控制機制以及提升合作之績效。
As global competition increasing, many Taiwanese companies direct invest in China. Many of them take International Joint Venture (IJV) as an entry strategy to access the Chinese market, share risks and build up competitive advantage. But there are many potentially risk in IJVs, as that an IJV needs control mechanisms to safeguard. Based on transaction cost theory and social network perspective, we explore the antecedents of control mechanisms design in IJVs. We collected data from Taiwanese firms which formed IJV in Main Land China before 2005 by questionnaire survey and obtained 102 responses. The result shows that the more importance the transferred resources are the more the formalization the control mechanism will be. We also find the negative relation between social capital which correlated among partners and centralization, but positive related with formalization and socialization. The interdependence between partners has positive impact on socialization. The more ownership Taiwanese firm has the more centralization the control mechanism will be. Finally, the result shows: Centralization is negatively correlated with the IJV performance. There is no relationship between formalization and IJV performance. Socialization is positively correlated with the IJV performance. These results explain that there is a complicated interaction relationship between control mechanisms. The enterprises should focus on forming suitable control mechanism to enhance IJV performance.
