我國自一九八九年公營事業移轉民營條例修正通過後,政府開始積極推展公營事業民營化工作,民營化因為市場競爭機制的導入,提升了社會整體資源的使用與配置效率,執行迄今已完成三十六家事業之移轉民營。但其間也衍生諸如財團介入、賤賣國家財產等問題。且依現行國營事業定義,政府持股低於50%即算民營事業,但目前多數民間企業股東持股超過20%即已可掌控事業,往往形成只是形式上的民營化。如要解決上述問題,政府是否應該將公股全部釋出,才能使民營化發揮市場機能與提升事業經營效率之終旨有效發揮?再則,不管最適民營化公股釋股程度為何都會產生公股管理問題,因此,本文也核視公股管理現狀並提出具體建議。
本文結論如下:
一、面對釋股作業,除部份公股股權的釋出與民營化後相關事業的法令及配套措施尚未健全之事業,以及市場上競爭性尚未健全之水、電和具有國防特性之事業之外,在釋股作業有公開、公平的招商及監督程序之情況下,政府對於公股之釋出宜以百分之百出售為原則。
二、對於公股股權管理方式建議如下:
1.集中管理公股股權,可成立專責機構統一管理,或成立政府控股公司,亦可委託財務顧問公司統籌管理公股。
2.加速與民營化以及公股股權管理相關之法令及規範之審查與訂定。
3.若採於財政部下成立專責管理機構之方式集中管理公股,對於公股代表之聘任、監督及考核方式皆應有明確的規範,並應基於經營績效設計合理之薪資報酬。若將公股股權交由控股公司或財務顧問公司,亦應設立完善的公股代表選任管理辦法,使公股代表行事有所依據,且能確實執行其權利與義務。
Since 1989, the Regulation of “the State-Owned Business Tsferring to Private-Owned Business” had been modified and passed; the government has started to aggressively push for the transferring tasks. It can be viewed as a mean of promoting competition and enhancing productivity efficiency. Until now, there are 36 state-owned companies have been turned into private-owned. But the issues of interference by syndicate involvement and distress the national property had happened. In addition, for most of the private-owned companies, owners with stocks share exceeds 20% take over the business.. However, according to the definition of “non-state-owned enterprises”, the government holds the stock shares less than 50%. It is thus just a formative transferring if government still holds a significant portion of the so-called private-owned enterprises.
The first issue we examine in this study is the optimal ownership of the state-owned stocks. Should the government release all of her ownership of state-owned enterprises so as to keep the environment of enterprises competitive and to enhance productivity efficiency? Furthermore, whether or not government releases all of her ownership of state-owned enterprises, government has to go through a period of managing the state-owned stocks, which is commonly criticized for its inefficiency. We thus also look into the issue of the public stocks management.

Concludes of this thesis are the followings:
The release of the “State-Owned” stocks should under the supervising of the government and in an openly and equitably procedure. The stocks for releasing should be 100% completely released except for those stocks which still under no proper governing regulations after privatization, or for those special businesses such as water, power, and national defense related businesses.

The suggestions to the state-owned stocks management are as follow.
1.To establish a central Management organization either by government or by a trust company.
2.To speed up the revision of the regulation related the privatization or public owned stocks management.
3.If adapting a way of central control in managing the state-owned company by a special entity which was established by the Financial Department of the Government, it should define clearly about how to assign, supervise, and assess of the representatives. And they also should be compensated fairly by their managing achievements. If adapting a way of assigning the state-owned stock to a stock control company or a financial company for managing, a proper way of how to select the stock representatives should be established. It shall clearly define their rights and duties for that they are able to perform their responsibilities properly.
