政府為加速國內金融整併及國際化的腳步，在法令與政策開放的推波助瀾下，開啟了外國銀行購併本國銀行的一股潮流。當外資不約而同的以購併方式拓展在台分支據點，藉此迅速打入本土市場之際，是否能藉此快速的擴張在台金融版圖，創造一加一大於二的綜效，端看購併者的整合能力而定。人力資源管理在企業購併成為影響成敗的關鍵因素。而跨國購併中，人力資源管理整合相形之下較本國購併更加複雜，人力資源管理的角色更是舉足輕重。

因此本研究希望藉由個案研究，來探討人力資源管理在企業購併中的角色。透過學者專家的文獻整理，二家外國銀行購併本國銀行的個案，針對二組個案在購併期間所發生的人力資源管理活動及相關問題，加以分析、比較與歸納，以探討人力資源管理在購併中所扮演的角色與其創造的價值。

經訪談後發現條件相似的兩組個案其人力資源管理在購併時所扮演的角色不盡相同。企業文化影響個案在購併期間人力資源管理流程的發展，購併的時機與背景影響被購併銀行員工面對購併乙事的態度，進而影響購併時人力資源管理流程所產生的價值。個案之購併條件與方式也影響其人力資源管理策略、活動及角色的扮演。人力資源管理角色會隨著購併時間而有所轉變，而人員整合議題仍然是購併人力資源管理最大的問題根本。本研究建議，企業在進行購併前需完整、週密的規劃，進行狀況推演及預防，可提升購併人力資源管理活動的效果及價值；購併後，則仍需正視員工適應、溝通，文化傳遞需持續的進行。

As our government wants to speed up the integration of local banking industry and path to globalization, it has just triggered a wave of international banking mergers following with favorable regulations and policies. In order to rapidly enter local market, foreign banks are pursuing mergers and acquisitions as a means to expend their branch offices in Taiwan. Whether a rapid expansion creates the synergy, it will only depend on the merger’s integration capability. HR performance in integration is a key driver of M&A success. When it comes to international mergers, the integration of human resources management becomes more complex as human resource management plays a critical role in the process.
In this research, we studied the business cases for HR involvement across the M&A process. Going through the literature on this subject, we analyzed, compared, and generalized the human resources activities and related issues of two those business cases, which involved two foreign banks merging local banks, in order to understand the roles and value creation of human resource management in M&A.
After interviews, we found that in those two similar business cases their HR played a different role in M&A. Corporate culture shows its impact in the development of human resources management process in M&A. The timing and background not only impact the employees’ attitude toward M&A, but also the value created from human resources management process in M&A. Furthermore, the conditions and approach of M&A influence human resources management strategies, activities and roles as well. Human resources management may see itself play different roles across the M&A process and the integration of human capital is the greatest source of error in M&A. To capture the full value from M&A, our research suggests that it’s worth conducting a complete and detailed plan with situation exercise and preventive measures before M&A. After that, companies still need to pay attention on employees’ adaptation and communication and keep on aligning organizational cultures to ensure the success of M&A.
