近年來,將非核心業務委外已成為一種企業經營模式,其中又以資訊系統委外管理最為常見。組織雙方因委託業務而訂定契約,即發生承攬關係。由於資訊系統委外專案之本質,乃高度運用知識資本,委託人與服務提供者通常很難於契約中詳列需求與承諾,且因雙方領域知識與資訊專業知識不對稱,故常引發爭議問題。鑒於以往對委外關係之研究大都以委託者觀點,且對於利益關係雙方知識不對稱現象及問題,尚缺乏系統性探究。是故,本研究依我國民法及委外相關理論,採用實證調查方式,探討承攬關係中知識不對稱下,專案委外過程中雙方互動之誠信、合作情形,分析其對所導致專案結果之關聯性影響。研究結果顯示雙方領域知識較易對稱,資訊專業知識之對稱性,則對契約之訂定,專案進行之互動,與未來是否繼續合作造成影響。
Recently, outsourcing non-core businesses to external units has become a kind of business operation models. Among that, the most popular one is the information system (IS) project outsourcing. Organizations may sign a contract with the client to commit their business affairs. Under the circumstance, the contractual relationships between client and service provider occur, and an asymmetric information status may exist due to the discrepancy of domain knowledge and information professional knowledge. Since the nature of IS outsourcing project highly relies on the vendor’s knowledge, the conflict problems arise if the details of client’s needs and the commitment of service provider cannot be described thoroughly in the contract in the beginning. Previous studies about outsourcing relationship mainly focused on the viewpoint of clients rather than that of service providers, and lacked a systematic research on the problem of asymmetric information for both parties. The objective of current study is to investigate the related impact of project contractual relationships upon asymmetric information, to clarify the role of trust and cooperation which may affect the relationship duration caused the contract to be renewed or terminated. The findings of this research indicate that the mutual domain knowledge is easy to reach a state of symmetry, where the symmetry of the information professional knowledge definitely plays a vital role in the negotiation of signing contract, and it affects two entities interaction of project execution, and the further cooperation in the future.
