多國籍企業(Multinational Enterprises;MNEs)進行海外直接投資(Foreign Direct Investment;FDI)時所面臨的重要課題為進入模式(Entry Mode)之選擇,由於多國籍企業所處的母國文化與地主國文化之差異性,對於多國籍企業採取直接控制的獨資模式或是與當地夥伴合作的合資模式目前尚未有一致性的結論;當文化距離大時,為了降低因文化差異所造成的環境適應成本,多國籍企業傾向以合資方式進入當地市場,反之,多國籍企業傾向採取獨資模式則是為了預防或控制合作夥伴的投機行為所造成的交易成本增加;故在文化距離差異大時,多國籍企業需面對環境適應性與夥伴不確定性這兩種交互力量對海外進入模式選擇之影響,此即為文化距離之雙重立論;而本研究以機構投資人持股比率作為調節變數,探討母公司機構投資人的高持股比率是否對於文化距離與海外投資直接進入模式具有調節效果。本研究以1999~2008年台灣公開發行上市上櫃的企業至海外投資為目標樣本,所分佈的地主國分別位於日本、美國、印尼、印度、法國、菲律賓、越南等13個國家,共計2,019件投資案。經由實證發現,當文化距離大時,台灣多國籍企業偏向從夥伴風險的觀點進行海外投資進入模式之評估,傾向採取以獨資方式進入當地市場,但母公司機構投資人的高持股率對於文化距離與海外直接投資進入模式具有調節效果,增加多國籍企業由獨資轉向合資之意願。

The entry mode choice is the most important FDI issue for MNEs. According to the past studies of the relationship between national cultural distance and entry mode choice are inconsistent results. The dual arguments of cultural distance are produced from environmental adaptation and partner cooperation costs. MNEs adopt joint ventures in order to reduce environmental adaptation costs. However, MNEs will choose wholly owned modes when partner cooperation costs rise up. This research uses institutional investors in parent companies as moderating variable and considers their moderating effect between culture distance and entry mode. The study includes 2,019 investment projects invested in 13 countries by Taiwanese firms. Our findings show that the impact of the institutional investors on the relationship of cultural distance and entry mode - MNEs would be more likely to choose joint ventures when institutional investors with high stocks ratio in parent companies.
