我國為強化公司治理機制,引進單軌制下的審計委員會,期許藉由其專業監督能提升財務報表品質,減少盈餘操弄及抑止舞弊的情形發生。此制度自2007年1月開始施行,分自願與主管機關強制要求設置,迄今已六年有餘,然設置審計委員會的公司家數仍然偏少,本研究考量審計委員會的功能在於監督財務報表,應能提升財報的品質,降低資訊不對稱,倘若審計委員會能發揮預期功能,則設置審計委員會的公司更能符合財務準則公報的規範,進而使財務報表品質提昇。本研究以C-Score作為公司會計穩健程度的指標來衡量財務報表品質,以2007至2011年上市櫃公司為研究對象。
財務報表主要目的在於提供有用的資訊,以確保財務報表具備決策有用性的品質特性;近來由IASB與FASB共同組成的會計準則調和委員會所研擬的財務報表觀念性架構草案中,已不存在穩健原則或審慎性(prudence),而移轉為中立性(neutrality)概念。本研究引用Basu(1997)模型與Khan and Watts(2009)的C-Score模式來檢測設置審計委員會後之會計穩健性程度,而當盈餘反映好、壞消息的不對稱速度縮小趨近於0時,則代表盈餘對好、壞消息的認列有著相同的速度,亦即符合會計中立性的概念。本研究實證發現設置審計委員會與會計穩健性呈正相關,但未達顯著水準,進一步利用敏感性分析發現設有審計委員會的公司其會計穩健性較高;另外,以目前我國公司治理的三種型態來看,對不同公司治理方式之DC-Score進行差異性檢定,發現公司採用監察人制度且設有獨立董事者,相較僅有監察人的公司,其會計穩健性較高。而設置審計委員會的公司其會計原則較具中立性,財務報表品質較佳具決策有用性。此研究發現可供主管機關或管理當局為擴大施行審計委員會制度之參考。
To strengthen the corporate governance mechanism, Taiwan has introduced a single-track audit committee, in the hope of reinforcing quality of financial statements, preventing surplus manipulation and hindering fraudulence through professional supervision. The mechanism has been enforced since January 2007, and the companies that have set it up either do it voluntarily on their own or compulsorily as requested by the competent authorities. To this day, it has been more than six years, but the number of companies setting up the audit committee is still relatively low. By considering the fact that the function of the audit committee is to supervise financial statements, the study has been convinced that setting up an audit committee shall be able to enhance quality of financial statements and reduce information asymmetry. If the audit committee could wield its expected function, those companies that set up an audit committee shall be able to better meet Statements of Financial Standards, and further elevate the quality of their financial statements. Based on C-Score as the index of the corporate accounting conservatism degree, the study has researched TSEC and OTC-listed companies to measure the quality of their financial statements produced in the period from 2007 to 2011.
The main purpose of financial statements is to provide useful information, so as to ensure that financial statements are equipped with the quality attributes which are useful for policy making. The conservatism principle or prudence is no longer existent in the conceptual framework for financial reporting drafted by the Accounting Standards Mediation Board constituted by IASB and FASB recently. Instead, the concept of neutrality is applied. This study has adopted the Basu (1997) model and C-Score model developed by Khan and Watts (2009) to inspect the accounting conservatism degree after the audit committee was set up, in which, when the asymmetric speed of refection of good and bad news from surplus almost narrows down to 0, it represents that surplus and recognition of good and bad news are at the same speed, and conform to the concept of accounting neutrality. The empirical study has found that setup of the audit committee shows a positive correlation with accounting conservatism, but it has yet to reach a significant level. By further conducting a sensitivity analysis, it is found that those companies that have set up an audit committee have higher accounting conservatism. On the other hand, according to the three types of corporate governance available in Taiwan, the study conducted a differential test for the DC-Score of varying corporate governance types and found that those companies that adopted the supervisor system and have independent directors have higher accounting conservatism compared to the companies only having independent directors, whereas the companies having an audit committee are more neutral in their accounting principle and have better quality of financial statements which are more useful for policy making. The findings of the study can be used by the competent authorities and administration authorities as the reference for expanding enforcement of the audit committee mechanism.
