本研究主要之目的為針對台灣電子產業中專利權資料最為完整之三大子產業半導體產業、電腦及週邊產業與光電產業,探討其所參與之技術併購案件對探索型創新之影響,並進一步分析併購雙方之技術重疊性與資訊不對稱是否改變技術併購對探索型創新之影響,除此之外更深入探討併購經驗與技術能力是否能使企業免於併購時發生資訊不對稱之影響。實證結果顯示,技術併購對於併購公司之探索型創新有正向之影響;併購雙方之技術重疊性愈高,愈能強化技術併購對探索型創新之正向影響;因併購產生之資訊不對稱則會減弱技術併購對探索型創新之正向影響;若公司具有較高之技術能力,能降低資訊不對稱對探索型創新之負面影響;併購經驗則無減弱資訊不對稱對探索型創新負面影響之顯著效果。
This study examines the relationship between technological acquisition and exploratory innovation performance. We further analyze the impact of technological characteristics and information asymmetry on the above relationship. Moreover, we discuss how M&A experience and technological capability reduce the negative impact of information asymmetry on exploratory innovation performance. After analyzing data collected from year 2008-2015, we find that technological acquisition increases exploratory innovation performance. Furthermore, the higher the technological overlap, the greater the positive impact of technological acquisition on exploratory innovation performance. Finally, we find that technological capability reduces the negative impact of information asymmetry on exploratory innovative performance while M&A experience does not significantly affect the impact of information asymmetry on exploratory innovative performance.
