本研究針對公司治理架構之內部機制,以股權結構與董事會特性作為公司治理指標,挑選出董事長兼總經理、董事會規模、大股東持股比例、控制股東持股比例以及董監事質押比例等5個變數計算公司治理分數,進而瞭解公司CEO年齡、性別、媒體曝光度與公司治理之關聯。樣本資料來源為台灣經濟新報(Taiwan Economic Journal, TEJ),資料期間為2011年至2016年,數據分別以描述性統計、皮爾森積差相關以及迴歸分析等統計方式進行資料處理。
實證結果發現,CEO的特性對公司治理優劣扮演重要的角色:女性CEO的公司傾向有較好的公司治理;CEO的年齡越長,公司治理越好;媒體曝光度較高的CEO其公司治理較差。本研究亦探討高度公司治理與低度公司治理公司的CEO角色,發現CEO特性對公司治理的影響僅在低度公司治理的企業顯著。綜言之,CEO的性別、年齡、媒體曝光度與公司治理有關,特別是低度公司治理的企業,CEO的上述特性更顯重要。
The purpose of this study aims to probe the association of ownership structure and board characteristics.Five variables are chosen in this study—the board chairman serves concurrently the general manager, the size of the board, the shareholding ratio of major shareholders, the block shareholders’ holding, and equity pledge ratio of directors and supervisors, to investigate the effect of CEOs’gender, age, and media exposure ontheir corporate governance. Data of the samples is from Taiwan Economic Journal ranging between 2011 and 2016, and is analyzed by descriptive statistics, Pearson product-moment correlation, and regression analysis.
The main findings show that CEO characteristics play important roles in corporate governance: female and elder CEOs have better corporate governance while highly media exposed CEOs have worse corporate governance. In addition, this study also explores the roles of CEO characteristics in high and low corporate governance enterprises. The result indicates that CEO characteristics significantly associate with corporate governance only in low corporate governance enterprises. Therefore, I conclude that CEO gender, age and media exposure are critical factors to corporate governance especially for low corporate governance firms.
