在快速變化的世界中,創新是公司確保競爭優勢的主要來源,而技術併購成為公司在面對突如其來和不可預測變化的競爭局勢中重要的策略之一。本研究以2002年至2012年台灣電子產業併購案件為研究對象,探討知識基礎與技術相關性對併購後創新績效的影響,及公司知識基礎是否會與技術相關性產生綜效,進而影響併購後創新績效。實證結果發現,主併公司知識廣度越佳或與目標公司間技術互補性越高,則併購後探索型創新績效越佳;而主併公司知識深度越佳或與目標公司間技術相似性越高,則併購後應用型創新績效越佳。進一步發現主併公司知識廣度以及與目標公司間技術互補程度會產生綜效,進而提升主併公司併購後探索型的創新績效。
In a rapidly changing world, innovation is the main source of the company's competitive advantage. Technology Mergers and Acquisitions (M&As) are one of the most important strategies for companies when trying to cope with sudden and unforeseeable changes in their competitive environment. This paper adopts the technology M&As events of Taiwanese electronics industry from 2002 to 2012 as the sample, this paper addresses how Knowledge base and technological relatedness individually affect post-technology M&A innovation performance, and how their interactive role affects post-technology M&A innovation performance. The empirical results show that an acquiring firm's post-technology M&A explorative innovation performance increases with the level of the Knowledge breadth, or the degree of technological complementarity with target firm. In addition, an acquiring firm's post-technology M&A exploitative innovation performance also increase with the level of the Knowledge depth, or the degree of technological similarity with target firm. Finally, the interaction of Knowledge breadth and technological complementarity has a significant impact on an acquiring firm's post-technology M&A explorative innovation performance.
