在全球積極討論環境保護趨勢的議題上,節能減碳、環保、輕量化已然成為重要趨勢,「鋁」在一片環保節能、輕量化之訴求聲浪中,似有異軍突起之勢,因在各類金屬材料中,鋁具有輕量、加工容易、強度高、耐腐蝕、易導熱、易導電等優勢,台灣鋁擠型市場之需求量隨著台灣之經濟、工業發展其市場結構會跟著改變。近十幾年來由於面臨台灣缺工及土地價格高漲,使得擴廠不易,紛至中國大陸、越南設廠。我國鋁業擠型業者規模皆屬中小企業,過去在市場上價格競爭烈以至血本無歸時有所闆。
台灣鋁業公司在面臨新型態的挑戰下,建構一個好的公司治理模式,不僅能為企業的發展提供重要的制度框架,而且也為企業增強競爭力和提高績效提供了組織架構。建立人事評議委員會,以人事評議晉升制度管理,以高階主管合議評鑑制度決議人員晉升;著重於環保及節能措施獲利兼顧對環境友善珍惜-環保及節能措施。建立經營與所有權分治。同時,將技術與管理職分經營權與所有權分流共治-專業經營獲利共享,透過公司治理及股權分散,將公司經營權及所有權分流共治。這些都將是不可或缺的要素。
As environmental protection has become a global focus , energy saving , carbon reduction , environment protection and lightweight energy have become significant trends . There is a sudden increase in the demand for “aluminium ”. Compared to various other metals , aluminium has the advantages of being lightweight , easy to process , high strength , corrosion resistant , high heat onduction , and high electrical conduction .
Taiwanese economic and industrial developments also have an impact on the market demand for aluminium extrusion industry in Taiwan . In the past decade , companies have faced difficulties to expand factories in Taiwan due to la ck of labour and high land prices . Instead , many companies turned to set up factories in Mainland China and Vietnam . Furthermore , the aluminium extrusion companies are all small and medium-sized enterprises in Taiwan . There has been intense price competition on the market that even result in no profit sales
Ta iwanese aluminium companies should establish strong corporate governance to face the challenge of the business transformation . Such establishment will not only provide these Taiwanese aluminium companies with an essential institutional framework for their development but also provide them with an organisational structure to enhance their competitiveness and improve their performance
Below are the crucial elements for the corporate governance :
Establish a Staff Review Committee to manage and promote the staff through the evaluation of senior executives .
Focus on the profit that environment-friendly and energy saving measurements bring while taking into account environmental protection values .
Separate management rights and ownership rights in the business. Professional management may be further divided into technical and management roles and duties while combining them to operate the business . Managing separated rights of management and ownership in the company through corporate governance and equity decentralization •
