近年來,面臨產業競爭壓力,企業為永續經營,透過外部成長的方式來擴展企業版圖,其中併購成為外部成長中常見方法。對於主併公司與標的公司來說,併購後要如何整合是一個的重要議題,同時,不當整合將會導致併購失敗,併購本身並無法立即為公司帶來效益,皆須要靠併購後整合來創造綜效。
本研究主要以電信產業裡的A公司為對象,觀察其與五家公司的併購活動中,十二個部門單位間整合過程。並採行個案研究方法,利用深入訪談與參考相關文獻進行驗證。研究發現如下:
1.併購部門間的資源共享程度高,主併公司可透過工作再設計、作業流程再設計及作業溝通來進行整合。
2.當資源共享程度愈低,併購前的事前溝通次數愈少。
3.併購前、後任務差異程度大,主併公司可透過員工工作輪調及員工教育訓練促進整合。
4.當併購前、後的任務複雜度愈大,整合時間愈長。
5.當任務差異程度大及資源共享程度高,主併公司採用教育訓練培訓多重技能人員進行後續作業整合。
To achieve long term survival under heavy pressure from competition, enterprises frequently expand their business territory by a merger and acquisition. To the acquired company and acquiring company, how the companies integrate business activities past merger integration (PMI) is a top issue.
This research adapts the method of cases-study on PMI of 12 units in 6 enterprises, The findings are following:
1.When the resources at the units to be integrated can be highly shared, the acquiring company can execute the PMI via redesign of tasks, redesign of workflow and communication in operation.
2.Ex-acquisition communication happens less frequently when the resource sharing degree is low .
3.When the task becomes highly different from it was before M&A, the company permeable work rotation and employee training on the conformity.
4.The time of PMI is longer when the task different after M&A becomes more complicated.
5.When the task becomes highly different from it was before M&A and the resources can be highly shared, training for multiple skill personnel is necessary for executing PMI.
