BOT模式(Build-Operate-Transfer,興建-營運-移轉)因具有減低政
府財政負擔與發揮企業經營效率之優點,已成為當前最受重視的開發方式
之一。本研究從BOT特許合約與傳統工程合約差異較大之內容中,選擇針
對特許合約中的工程用地、財務、營運、移轉四部份進行研討,從適法性
與合理性的角度出發,提出特許合約中之擬訂重點與注意事項,在合約訂
定階段即對BOT計畫執行之各階段可能面臨之風險與困難點詳加考量,並
建議將之納入合約條款規定內,期望能提供公、私兩部門於擬訂BOT特許
合約時之參考。對特許合約之擬訂歸結出以下重點,並以計畫執行之觀點
提出下列建議:一、 在工程用地方面,擬訂重點包括:(1)用地交付之方
式、(2)土地用途之限制、(3)用地交付遲延之處理、以及(4)地租與地價
稅之負擔。建議則有:(1)由政府以公權力負責取得土地與(2)需用地範圍
應由政府先行規劃評估定案。二、 在財務方面,擬訂重點包括:(1)融資
計畫、(2)資產設備轉讓或設定負擔、(3)融資優惠之適用、(4)權利金與
回饋金之支付、(5)介入權之範圍及行使時機、以及(6)要求政府協助融資
事項。建議則有:(1)銀行接觸計畫時機予以提前、(2)財務計畫審查應加
強注重融資規劃及保證、以及(3)增加對特許公司優惠以提高籌資能力。
三、 在營運方面,擬訂重點包括:(1)費率之約定與調整、(2)營收調節
機制、(3)政府單位之監督權責、以及(4) 操作維護費用之編列及運用。
建議則有:(1)由主辦機關規劃運量供投資者參考與(2)由統一機關執行監
督減少界面。四、 在移轉方面,擬訂重點包括:(1)移轉狀況界定、(2)
移轉程序、(3)移轉驗收之資產項目及標準、以及(4)續約相關規定。建議
則有:(1)採行優先續約須先建立客觀績效評估標準與(2)重視移轉後設備

Since Build-Operate-Transfer (BOT) projects have the advantages
of reducing the government''s financial burdens and utilizing the
management efficiencies of private enterprises, the BOT project
model has become one of the popular strategies in constructing
public facilities. This research aims at raising crucial issues
and clauses that need to be emphasized in concession cotracts of
the BOT projects based on the aspects of permissible legality
and flexibility. Suggestions for resolving such issues are also
proposed. This research focuses on four major areas: land uses,
project finance, operation, and transferring that significantly
differ BOT contracts from traditional construction. The results
of this research are expected to serve as a useful reference to
public and private sectors when negotiating the concession
contracts.Summary this research is listed as follows:A.In
project land use: the important issues are (1) land
transferring; (2) limitation of land use; (3) disposition of
land transferring delays; and (4) rents and taxes of land, and
the suggestions are (1) lands should be acquired by the
government; and (2) the ambit of land should be planned and
settled prior to the beginning of BOT projects.B.In project
finance: the important issues are (1) financing plans; (2)
pledge of assets; (3) favorable financing; (4) privilege and
feedback fees; (5) right of interruption and timing; and (6)
requested government financing facilitation, and the suggestions
are (1) banking institutions should be contacted early; and (2)
financing plans and warrants be emphasized during project
evaluation.C.In project operation: the important issues are (1)
rates and adjustments; (2) mechanism for adjusting income; (3)
government''s right of inspection; and (4) listing and usage of
maintenance costs, and the suggestions are (1) traffic volume
should be investigated by the government; and (2) project should
be supervised by a unique entity to reduce interfaces.D.In
transferring: the important issues are (1) conditions at
transferring; (2) transferring procedures; (3) acceptance items
and standards of assets; and (4) continuation of contracts, and
the suggestions are (1) criteria of performance evaluation for
continuation be set up early; and (2) warrants after
transferring should be emphasized.Keywords: BOT, concession
