近年來,同時經營多家分子公司的集團企業愈趨普遍,在這類龐大的企業體系內,其組織結構儼然自成一個連結網絡。在集團網絡內,各分子公司相互連結的一個重要基礎即是董事會連結。過去文獻顯示,由董事會連結將集團內各分子公司連結起來的集團網絡會是集團企業發展的一個重要基礎,尤其是當集團企業投入創立新的分子公司時,集團董事會連結網絡對新創子公司而言更是重要。
新創子公司在集團網絡中的位置或是與核心母公司的連結關係,與新創子公司的經營績效之間具有影響關係,且受到集團網絡整體特性或新創子公司事業核心性的干擾而有所不同。本研究在集團董事會連結網絡下,結合三種不同的網絡中心性、網絡密度、連結強度以及新創子公司事業核心性為架構進行研究。
本研究以1997至2010年間之集團內新創子公司為研究對象,共蒐集了63家集團企業中的76家新創子公司。以Panel data分析進行實證的結果顯示,當新創子公司提高其董事會連結之程度中心性、中介中心性與連結強度時,會提升公司之營收成長;新創子公司董事會連結之程度中心性、中介中心性與公司營收成長的正向關係,在集團整體董事會網絡密度低時較高時更明顯;新創子公司對核心母公司之董事會連結強度與公司營收成長的正向關係,在其經營與核心母公司相關之事業時較經營非核心相關事業時更明顯。

Business Groups, holding more than one subsidiary, is becoming widespread in the recent years. In this kind of the business system, organization structure is similar to a linking network. Interlocking directorates is an important basis of the subsidiaries’ linking relationship in the business groups’ network. Literature shows that interlocking network in business groups is an important foundation of corporate growth. The interlocking network in business group is particularly important of the new subsidiary, when a business group is trying to establish a new venture.
The status of the new venture in the interlocking network and the linking relationship between new subsidiary and parents have effect on firm performance. Base on the interlocking network in business group, this study integrates several kinds of network characteristic, including centrality and tie strength. This study also considers core/non-core business relatedness and wholistic network density as moderators as the research structure.
The research sample includes the new venture found between 1997 and 2010. Base on this criterion, 76 new ventures in the 63 business groups were collected. Panel data regression analysis is used. The results show that the new ventures’ degree centrality, betweenness centrality and tie strength have positive relationships with firm growth, and the relationships are more significant when wholistic network density is low. The relationship between tie strength and firm growth is also positive, and it was more significant when the new venture engaged in non-core related business. Theoretical contributions and practical implications are provided.
